Overview

Joshua is a partner in our Corporate Department of our Cayman Islands office. He has deep multi-jurisdictional expertise in advising blockchain, fintech, and virtual assets projects from early-stage ventures to the world’s pre-eminent projects and platforms.

From co-founding a blockchain collective in 2017 to lecturing on governance and structuring best practices, Josh has established himself as a trusted advisor to many clients through his innovative approach to solving complex client problems. He is also an active contributor to digital asset communities in the Cayman Islands and in the United States having previously practised in New York.

Josh’s practice involves advising clients on the life-cycle of transactions and projects including in relation to complex and novel commercial transactions, structuring and governance issues, cross-border regulatory considerations, and ongoing commercial advisory matters. Josh draws on his strong transactional background to offer timely, commercial, and client-centric legal solutions including while also anticipating regulatory developments and market trends. His clients range include DAOs, Layer 1 and 2 protocols, DApps, regulated virtual asset providers, artificial intelligence projects and other Web3 projects and providers across a range of sectors.

Josh is a member of the Cayman Islands Blockchain Association.

Work Highlights

  • Acted as counsel to a top five (by market-cap) zero-knowledge proof (ZK) roll-up platform focused on Ethereum scaling and infrastructure development;
  • Acted as counsel to a universal dApp engine enabling decentralised development beyond smart contracts; advised on the project’s funding, structuring, and establishment of Cayman Islands and token-issuing entities;
  • Acted as counsel to a novel blockchain layer protocol enabling users to create Application Virtual Services (AVSs) for decentralised front ends, indexing, ZK verifiers, serverless functions, file and data storage, and GPU systems; advised on the seed funding round via SAFEs and token warrants;
  • Acted as counsel to a novel RWA stablecoin protocol on the deployment, launch, and ongoing on and off-chain activities; provided legal and regulatory advice on the protocol’s compliance with Cayman Islands Virtual Asset Service Provider (VASP), economic substance, securities, data and privacy and other applicable laws and regulations.
