Overview

Paul is a partner in the Corporate Department of our Hong Kong office. He advises on all forms of debt finance, structured finance and capital market transactions. Paul has more than 15 years’ experience in the Asia-Pacific region and advises leading onshore law firms, regulated financial institutions, investment funds, listed companies and private corporations on a range of debt related transactions and structured products.

Paul regularly represents lenders and borrowers on a wide range of cross-border secured debt transactions including private capital lending, leveraged finance, margin lending, acquisition finance, take-private transactions, real estate finance and syndicated and club lending. He has significant experience on debt capital market issuances including private placements, medium-term note programmes, high yield bond issuances, corporate bond and hybrid securities issuances, including convertible and exchangeable bonds.

Paul has specialised structured finance experience and is regularly sought after to advise issuers, subscribers and arrangers on the establishment of standalone and multi-issuance repackaging note programmes and securitisation vehicles. He regularly acts for leading investment banks and private-equity firms on a range of OTC derivative trades including collars, covered call options, call spread options and other structured products. Paul often assists listing agents with the listing of notes on the Cayman Islands Stock Exchange and the associated continuing obligation disclosures.

Prior to joining Campbells, Paul worked for another offshore law firm and a global investment bank in Hong Kong. Paul worked for a leading national law firm in Australia prior to moving to Hong Kong.

Work Highlights

(Prior to joining Campbells)

  • Advising China CITIC Bank Corporation Limited and a group of Chinese banks in their capacity as joint lead arrangers and lenders with respect to various facilities with a total commitment of over US$2.6 billion for a consortium led by Apex Technology Co., Ltd, PAG and Legend Capital Management Co., Ltd.
  • Advising a high-profile Asian financial institution in respect of the establishment of a secured note repack programme and the incorporation of a Cayman Islands orphan trust SPV as issuer, including providing advice on subsequent note issuances under the programme.
  • Advising a group of lenders in respect of a US$1.3 billion loan facility provided to Karot Power Company (Private) Limited in respect of the Karot Hydropower plant project built on the Jhelum River in Pakistan, part of China’s Belt and Road project. The lenders included Export-Import Bank of China, China Development Bank, Silk Road Fund and the International Finance Corporation. This deal was recognised as “Deal of the Year” by China Business Law Journal.
  • Advising leading investment banks on various OTC derivatives including with respect to jurisdiction specific counterparty issues.
  • Advising I Squared Capital Advisors on the US$1.86 billion acquisition of Hutchison Telecommunications’ fixed line business, Hutchison Global Communications. This deal was awarded Finance Asia’s Best Hong Kong Deal award.
  • Advising a leading global bank in respect of a securitisation of insurance premium receivables originated by a large Chinese Bank and the establishment of an orphan trust SPV securitisation vehicle.
